Terms of service

These Terms of Service ("Terms") govern your access to and use of Growzy, including the website at usegrowzy.com and the application at app.usegrowzy.com (together, the "Service"). By creating an account or using the Service, you agree to these Terms. If you use the Service on behalf of a business, you agree on its behalf and confirm you have authority to do so.

1. The Service

Growzy lets you automate replies to comments, direct messages, story replies and mentions on Instagram Business and Creator accounts you connect, collect contact details people choose to share, track link clicks and manage conversations. Growzy uses Instagram's official API provided by Meta. Growzy is not affiliated with, endorsed by or sponsored by Meta or Instagram.

2. Accounts

  • You must be at least 18 years old and able to form a binding contract.
  • You must provide accurate information and keep your sign-in credentials secure. You are responsible for activity under your account and workspace, including by team members you invite.
  • You may only connect Instagram accounts that you own or are authorized to manage.

3. Acceptable use

You agree to use the Service lawfully and responsibly. You must comply with Meta's Platform Terms, Instagram's Terms of Use, Community Guidelines and Platform Policy, and any other Meta policies that apply to messaging. You must not use the Service to:

  • Send spam, unsolicited bulk messages or messages to people who have not interacted with your account.
  • Send deceptive, misleading, harassing, hateful, sexually explicit or illegal content, or promote prohibited goods or services.
  • Impersonate any person or business, or misrepresent your affiliation.
  • Collect personal information without a lawful basis, or use collected emails or phone numbers in violation of laws such as CAN-SPAM, the TCPA or applicable privacy laws.
  • Circumvent Instagram's messaging limits, the 24-hour messaging window or other platform restrictions.
  • Interfere with, probe or overload the Service, reverse engineer it, or access it by automated means other than the features we provide.
  • Resell or provide the Service to third parties, except agencies managing accounts for their own clients.

Meta and Instagram may limit or disable features or accounts at their discretion. We are not responsible for actions Meta or Instagram take on your accounts.

4. Your content and data

You keep all rights to the content you create, such as automation messages, and to the data you collect through the Service. You grant us a limited license to host, process and transmit that content and data only as needed to provide the Service. You are responsible for your content and for providing any notices and obtaining any consents required to message and collect information from your contacts. Our privacy policy describes how we handle personal information.

5. Plans, subscriptions and billing

  • Free plan. The Free plan is provided at no cost with the limits shown on our pricing page. We may change Free plan limits with notice.
  • Paid plans. Paid plans are billed monthly in advance, in US dollars, and renew automatically until canceled.
  • Merchant of record. Payments are processed by Dodo Payments, which acts as merchant of record and reseller for Growzy subscriptions. Your purchase is also subject to Dodo Payments' terms, and charges may appear under their name on your statement. Applicable sales tax or VAT is calculated at checkout.
  • Price changes. We may change prices with at least 30 days' notice. Changes apply from your next billing period after the notice.
  • Failed payments. If a payment fails, we may provide a short grace period, after which your workspace returns to Free plan limits.
  • Plan limits. When you reach a plan's monthly automated DM limit, automated sending pauses until the next month or until you upgrade.

6. Cancellation and refunds

You can cancel a paid plan at any time from your billing settings. Cancellation takes effect at the end of the current billing period, and you keep paid features until then. Except where required by law, payments are non-refundable and we do not provide credits for partial periods. If you believe you were charged in error, email support@usegrowzy.com.

7. Suspension and termination

You may stop using the Service and delete your account at any time. We may suspend or terminate your access, with or without notice, if you violate these Terms or Meta's policies, create risk or legal exposure for us or others, or fail to pay. Where reasonable, we will give notice and a chance to fix the problem. After termination, you may request an export of your contacts for 30 days, after which we may delete your data as described in our privacy policy.

8. Availability and changes to the Service

We work to keep the Service available and reliable, but it depends on third-party platforms, including Meta's API, that may change or become unavailable. We may add, change or remove features. If we discontinue the Service entirely, we will give reasonable notice and refund any prepaid fees for the unused period.

9. Disclaimers

The Service is provided "as is" and "as available." To the fullest extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose and non-infringement. We do not guarantee that messages will be delivered, that the Service will be uninterrupted or error-free, or any particular business results.

10. Limitation of liability

To the fullest extent permitted by law, Growzy will not be liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or goodwill, arising from or related to the Service, even if advised of the possibility. Our total liability for any claim relating to the Service will not exceed the greater of the amount you paid us in the 12 months before the claim or US $100.

11. Indemnification

You agree to defend, indemnify and hold harmless Growzy from claims, damages and expenses, including reasonable attorneys' fees, arising from your content, your use of the Service or your violation of these Terms, applicable law or third-party policies.

12. Changes to these Terms

We may update these Terms from time to time. If changes are material, we will notify account owners by email or in the app at least 14 days before they take effect. Continuing to use the Service after changes take effect means you accept the updated Terms.

13. General

These Terms, together with our privacy policy, are the entire agreement between you and Growzy about the Service. If any provision is found unenforceable, the rest remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition or sale of assets.
